- GOVERNING LAW and JURISDICTION
(1) Any and all matters arising out under the Conditions or matters related to it shall be interpreted pursuant to the laws of Japan.
(2) When it becomes necessary to institute legal proceedings in relation to the matters arising out under the Conditions or matters related hereto, the Sapporo District Court shall have the non-exclusive jurisdiction.
(3) In the case where either of the preceding two paragraphs conflict with the provisions set forth in the Transaction Agreement, the provisions set forth in the Transaction Agreement shall override that preceding paragraph to the extent of such conflicts.
